1. Agreement to these Terms

The website located at getaxle.ai (the "Site") and the Axle demonstration phone line described in Section 3 (the "Demo Line") are operated by Startup Sales Consulting LLC, a Delaware limited liability company registered to do business in New York, doing business as Axle ("Axle", "we", "us"). These Terms of Use (the "Terms") govern your use of the Site and the Demo Line. By accessing or using either, you accept these Terms on behalf of yourself or the entity you represent, and you represent that you have the authority to do so and that you are at least 18 years old. If you do not agree with these Terms, do not use the Site or the Demo Line.

These Terms include an arbitration agreement and class action waiver in Section 11. It affects how disputes between you and Axle are resolved. Please read it.

2. The Site and our services

The Site describes Axle's products, including AI call answering and quote automation services. Content on the Site is provided for general information. Nothing on the Site is an offer capable of acceptance, and pricing shown on the Site is indicative starting pricing only. If you purchase services from Axle, those services are governed by a separate written agreement between you and Axle, and that agreement, not these Terms, controls the paid relationship.

3. The Demo Line

Axle operates the Demo Line at (830) 396-6361 so you can experience the product. By calling the Demo Line, you agree to the following:

4. License and acceptable use of the Site

Subject to these Terms, Axle grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own informational and legitimate business purposes as a potential or current customer of Axle. You may not: (a) copy, distribute, republish, or commercially exploit the Site or its content except as expressly permitted; (b) modify, disassemble, or reverse engineer any part of the Site; (c) access the Site to build a similar or competitive product or service; or (d) use automated means to scrape or harvest content or data from the Site except as permitted by our robots.txt. All copyright and proprietary notices must be retained on any permitted copies.

5. Feedback

If you send us feedback or suggestions about the Site or our products ("Feedback"), you assign to Axle all rights in that Feedback and agree we may use it in any manner without obligation to you. Please don't send us anything you consider confidential or proprietary.

6. Third-party services and links

The Site uses and links to third-party services, including scheduling through Calendly, form processing through Formspree, and analytics through Microsoft Clarity. Those services are not under our control, and your use of them is governed by their own terms and privacy policies. We provide links and integrations as a convenience and are not responsible for third-party services.

7. Intellectual property

The Site, the Demo Line, and all related content, features, and technology are owned by Axle or its licensors and are protected by intellectual property laws. Except for the limited license in Section 4, nothing in these Terms transfers any rights, title, or interest to you. All rights not expressly granted are reserved.

8. Disclaimers

THE SITE AND THE DEMO LINE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXLE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR DEMO LINE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR ACCURATE. DEMO OUTPUTS, INCLUDING SAMPLE QUOTES, ARE GENERATED BY AI FOR DEMONSTRATION AND MAY CONTAIN ERRORS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXLE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE OR THE DEMO LINE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify and hold Axle and its officers, members, employees, and agents harmless, including reasonable costs and attorneys' fees, from any claim or demand made by a third party due to or arising out of (a) your use of the Site or the Demo Line, (b) your violation of these Terms, or (c) your violation of applicable law. We may assume the exclusive defense of any matter subject to indemnification by you, at your expense, and you agree to cooperate with that defense.

11. Dispute resolution; arbitration

Please read this section carefully. It requires disputes to be resolved by binding individual arbitration and waives class actions and jury trials.

(a) Informal resolution first. Before starting arbitration, you and Axle agree to try to resolve any dispute informally. Send a written description of the dispute, with your name and contact information, to hello@getaxle.ai, and we'll confer in good faith within 45 days. Either party may start arbitration if the dispute isn't resolved within 60 days of that notice.

(b) Binding arbitration. Any dispute arising out of or relating to these Terms, the Site, or the Demo Line will be resolved by binding arbitration administered by JAMS under its rules then in effect, rather than in court, except that either party may (i) bring an individual claim in small claims court if it qualifies, and (ii) seek injunctive or other equitable relief in court for infringement or misuse of intellectual property rights. The Federal Arbitration Act governs the interpretation and enforcement of this section. Arbitration will be conducted by a single arbitrator, in the county where you reside or another mutually agreed location, and may be conducted by videoconference. The arbitrator's award is final and binding and may be entered in any court of competent jurisdiction.

(c) Class action and jury waiver. You and Axle may bring claims against the other only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding, and each party waives the right to a jury trial. If this class waiver is found unenforceable as to a particular claim, that claim, and only that claim, shall proceed in court, and the rest shall remain in arbitration.

(d) 30-day opt-out. You may opt out of this arbitration agreement by emailing hello@getaxle.ai within 30 days of first accepting these Terms, with your name, contact information, and a clear statement that you want to opt out of arbitration. Opting out of arbitration does not affect the rest of these Terms.

12. Governing law

These Terms and any dispute arising out of them are governed by the laws of the State of New York, without regard to its conflict of laws principles, except that the Federal Arbitration Act governs Section 11. For any matter not subject to arbitration, you and Axle consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York.

13. Termination and changes

We may suspend or terminate your access to the Site or the Demo Line at any time, for any reason, without liability to you. We may revise these Terms from time to time by posting the updated version on this page with a new "Last updated" date. Your continued use of the Site or the Demo Line after changes are posted constitutes acceptance of the revised Terms. Sections that by their nature should survive termination do survive, including Sections 5 and 7 through 12.
